RULES OF THE CONTEST GAME "THE NFT VERSITY CHALLENGE"

Article 1 - Definition and conditions of the contest

The company LES AGENCES DE PAPA FRANCE, SAS with capital of 2.000 euros, registered in the RCS of NICE under the number 878 379 940, whose registered office is located at 25, avenue Jean Médecin - NICE 06000, represented by Mr. CLAUDE LI in his capacity as president (hereinafter the "Organizing Company"), is organizing a contest from Monday, October 3, 2022, 12:00 am, until Sunday, November 10, 2022, 00:00 am. This free contest, with no obligation to purchase, is open to any person of legal age residing in metropolitan France.

It is accessible via the accounts published by LES AGENCES DE PAPA FRANCE ("Versity" and "Les Agences de Papa") on the social networks Twitter,  Linkedin, Facebook and Telegram.

- LES AGENCES DE PAPA FRANCE are referred to, hereinafter, as : "the Organizer".

- The participant in the game is hereinafter referred to as "the Participant or the Player".

- The winner selected by the internal teams and the Versity community in accordance with these rules is hereinafter referred to as "the Winner".

Article 2 - Prior Acceptance of the Rules

By participating in the free contest, each Participant is deemed to have read these rules and the GTCs of www.versity.io accessible on the site, and fully accept all of its provisions. 

Each Participant declares that he/she is informed that any failure to comply with these rules will result in his/her permanent exclusion from the contest, and will deprive him/her of any prize to which he/she may have been entitled, without prejudice to any damages that the Organizer may require elsewhere.

These rules will be accessible throughout the duration of the contest on the site (www.versity.io), from October 3, 2022 to November 10, 2022 on:

Article 3 - Conditions of participation

This game is open to any natural person of legal age, residing in metropolitan France, with the exception of corporate officers, staff and members of their families, of the organizer.

Participation in the game is strictly nominative, and therefore: 

  • Participants agree to provide proof of identity at the first request of the Organizer;
  • Any participation  whose contact information would be incorrect or incomplete will not be taken into account;
  • Any use of processes allowing to participate in the game mechanically or repeatedly is prohibited.

Any participation that does not comply with these rules will not be taken into account. 

Article 4 - Contest dates

  • Start date of the contest: 3/10/2022 at 12:00 PM
  • End date of the contest: 11/10/2022 at 00:00 AM
  • Selection date of the 5 finalists : 11/07/2022 at 12:00 PM
  • Selection date of the winner : 11/10/2022 at 12:00 PM

Article 5 - Game and Winner Designation Terms

To participate in this game, players must cumulatively (1) have a public Twitter account, (2) follow the @HelloVersity Twitter account, (3) "like" the contest announcement post, (4) complete the dedicated form accessible at (https://docs.google.com/forms/u/2/d/1nR89d3HH7CUCpJyDaFiQ0iI8SjTez__mBTd6yBnqTWs/edit) and linked in the publication, and (5) email their proposal for three NFTs designs in the conditions and formats indicated below to [email protected].

As part of the form to be filled out, participants will be asked to answer the following questions: 

  • What tool did you use to create the design of the PARSELL NFTs?
  • Your main idea and background of creating the PARSELL NFTs.
  • What difficulties, if any, were encountered in creating the PARSELL NFTs.


 

Participants will therefore have to create three NFT designs, namely two NFTs from the PARSELL PREMIUM category and one NFT from the heart category and whose plot chosen by each participant must correspond to a personal choice (e.g., place of birth...). 

Files will have to be sent by mail in one of the following formats: JPG, PNG, GIF or MP4, with a quality of 3,000 x 3,000 pixels to ensure adequate image quality.

Five (5) finalists among the participants who have respected the rules of the game and the conditions of participation will be designated by the teams of PAPA AGENCIES, dedicated to the VERSITY project, based on the following criteria: 

  • design achievement 
  • creativity
  • consistency and explanation of the proposal
  • compliance with instructions and deadlines

 

Of these five (5) finalists, one (1) winner will be chosen by the VERSITY community constituted on social networks (Facebook, Linkedin, Twitter and  Telegram), following a form that will have been put online, and made accessible to the VERSITY community. As part of this form, each member of the community will be asked to vote for one of the five finalists, based on the designs made by each. The participant with the most votes will be designated the winner of the game.

In the event that the winner designated by the community is not eligible to participate, or for any other reason resulting in the need to award the prize to another participant, the participant with the second highest number of votes will be designated as the winner in lieu. 

Article 6 - Information of the winner 

The announcement of the finalists, and then of the winner, will be made via a post on the Linkedin, Twitter, Telegram, Facebook networks on 11/07/2022 at 12:00 pm for the finalists and on 11/10/2022 at 12:00 pm for the winner.

The finalists and the winner will be tagged on the publications and their designs will be published on the Linkedin, Twitter, Telegram, Facebook accounts in order to allow the VERSITY and Les Agences de Papa community to vote for the grand prize winner.

 The winner will be notified by email to the address provided by him/her on the form within 5 days after the closing date of the game, and invited to communicate his/her Polygon wallet address before November 18, 2022 in order to receive his/her endowment after the listing (lock & vesting applicable). 

 

Proof of identity may be required.

If the winner does not respond via email within the specified time period and does not provide the required information upon receipt of his/her prize, he/she will be deemed to permanently forfeit all rights to the prize and an alternate winner will be selected.

Article 7 - Endowments

The winner of the game will win a prize consisting of tokens of the SITY cryptocurrency, worth  $1,000.

The prize won is non-transferable, non-transferable and will not be subject to any dispute of any kind by the winner and/or other participants.

Article 8 - Responsibility 

The Organizer reserves the right to cancel, modify, suspend or extend the contest at any time, for any reason, and without its responsibility being engaged as a result, and without the participants or the winner being able to claim any compensation or refund. In particular, it may, at any time and for any reason, replace the prize with a prize of similar or greater nature and commercial value.

 

Participation in the contest implies knowledge and acceptance of the characteristics and limits of the Internet, particularly with regard to technical performance, response times for consulting, querying or transferring information, the risks of interruption, and more generally, the risks inherent in any connection and transmission on the Internet, the lack of protection of certain data against possible misappropriation, and the risks of contamination by possible viruses circulating on the network. Consequently, the Organizer cannot be held responsible under any circumstances, without this list being restrictive: any malfunctioning of any network and in particular Facebook, Twitter, Linkedin, Telegram preventing the proper conduct/functioning of the contest; failure of any receiving equipment or communication lines; loss of any e-mail and, more generally, loss of any data; the functioning of any software; the consequences of any virus, computer bug, anomaly, technical failure; any damage caused to a participant's computer equipment; any technical, hardware and software failure of any kind, having prevented or limited the possibility of participating in the contest.

 

It is specified that the Organizer cannot be held responsible for any direct or indirect damage resulting from an interruption, malfunction of any kind, suspension or termination of registration or participation in the contest, for any reason whatsoever, or for any direct or indirect damage that would result, in any way whatsoever, including a connection to Facebook, Twitter, Linkedin or Telegram. The connection of participants to social networks on the one hand, and their participation in the contest on the other hand being under their full responsibility.

 

The Organizer shall in no case be held responsible in case of delay, loss, theft, damage, non-receipt of the prize, malfunction or lack of access to its wallet, in particular due to Polygon Technologies and any other third party service provider involved in the POLYGON chain and its tools.

 

The Organizer cannot be held responsible for the loss of value of the awarded endowment, in particular due to the fluctuation of the price of crypto-currencies, hidden or apparent defects and possible malfunctions of the POLYGON blockchain on which the SITY cryptocurrency is based.

 

The Organizer declines all responsibility for any damage that may occur during the use/enjoyment of the awarded endowment and excludes all responsibility relating to any dissatisfaction of the winner concerning his endowment.

 

In this regard, the Organizer reminds that the prizes are intangible products intended exclusively for personal use by adults. It is advisable for the winner to refer before any use to the terms of use and any other document made available on the site www.versity.io allowing him/her to have and/or acquire knowledge of the crypto-asset markets and the technologies on which they are based, as well as their operation. 

Article 9 - Intellectual property and privacy 

Participation in the contest implies the authorization of the participants  for the benefit of the Organizer to reproduce their names or pseudonyms as they will have informed them on their Facebook, Twitter, Linkedin and Telegram accounts as well as the designs they will have communicated by e-mail.

They authorize the Organizer to reproduce said names or pseudonyms in the context of the announcement of the finalists and the winner of the contest, on the Facebook, Twitter, Linkedin and Telegram accounts of PAPA AGENCIES and VERSITY for an unlimited duration.

 

This authorization will not give rise to any financial consideration.

Participants expressly grant the Organizer a license to use and reproduce the designs made by them, for the entire world and on all media including the Facebook, Twitter, Linkedin and Telegram accounts of LES AGENCES DE PAPA and VERSITY, for the entire duration of the contest and the following two years, with the aim in particular of promoting the contest, the VERSITY project as well as the products and services of LES AGENCES DE PAPA. 

As such, the participants declare that they have without restriction or reserve all copyrights related to the designs made. They declare that the latter are not the subject of any other valid contract, nor of any preferential right nor belong partially or totally to third parties. As such, participants agree to raise in warranty the Organizer so that it is not worried. 

Participants acknowledge having been informed of the content and purpose of the designs made for the contest .

In this context, they expressly and already consent, in the event that they win the contest, to the principle of the exclusive transfer of their economic copyrights (reproduction, representation, adaptation) to the benefit of the Organizer, for the whole world and on all physical and digital media, for promotional and commercial purposes, and in particular in order to market them in the form of NFT on the VERSITY marketplace and any other marketplace dedicated in the field of cryptocurrency and web3, in return for a consideration definitively set at 100 Euros including tax. 

A copyright assignment contract will be regularized between the winner and the Organizer upon delivery of the prize, which participants expressly accept by participating in the contest.

The reproduction and representation of all or part of the elements composing the contest, the accounts and brands held by the Organizer are strictly prohibited.

Article 10 - Personal data

Participation in the contest gives rise to the creation of a file gathering personal data collected on the occasion and for the needs of its organization, as well as for promotional or advertising purposes subject to the express consent of the participant. This information is intended for the Organizing Company but may possibly be transmitted to its partners or technical service providers.

 

In accordance with the regulations in force, participants have the right to oppose, access, rectify and delete personal data collected during their participation in the contest.

Article 11 - Applicable Law - Competent Jurisdiction

These Rules and Regulations are subject to French law.

 

Any claim must be addressed in writing no later than 1 month after the closing date of the contest, to the following address:

Failing an amicable agreement, the dispute will be submitted to the competent courts.
